Terms of Service

These Terms of Service govern access to and use of Kumo, including the website, onboarding flow, agent workspace, Slack app, runtime, connected integrations, billing, and related services. By creating an account, installing Kumo in Slack, connecting a tool, or otherwise using Kumo, you agree to these Terms.

If you use Kumo for a company or other organization, you represent that you have authority to accept these Terms for that organization. You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use Kumo.

Kumo is a Slack-native AI coworker for companies. Kumo can read context you authorize, connect to business tools, create company memory, produce reports and dashboards, write code or campaigns, inspect traces, and run tasks through an isolated tenant runtime.

• Slack is the primary interface. Kumo responds in channels, direct messages, and threads where it is installed, invited, mentioned, or otherwise authorized.
• The agent workspace is a control and visibility surface for setup, integrations, billing, secrets, traces, artifacts, memory, repos, skills, and runtime status.
• Connected tools are authorized by your workspace and may include Google services, GitHub, Slack, Stripe, analytics tools, CRMs, productivity apps, advertising tools, and other business systems.
• Kumo may use third-party AI providers and infrastructure providers to process prompts, context, tool results, logs, and outputs needed to provide the Service.

You are responsible for the users, Slack workspace, connected accounts, API keys, OAuth grants, secrets, and data that you authorize for Kumo. You are also responsible for keeping your workspace permissions and connected accounts secure.

• You must have the right to install Kumo in Slack and grant the scopes Kumo requests.
• You must have the right to connect each third-party tool and expose that tool to Kumo for workspace use.
• You are responsible for all activity in your tenant, including actions requested, approved, or pre-authorized by your team.
• You must promptly notify us if you believe an account, token, secret, or workspace has been compromised.

When you connect Slack or another tool, you authorize Kumo to access and process the data made available through that connection. The exact data depends on the scopes, account permissions, and settings you approve.

Integrations are generally workspace-shared. Authorized users in your tenant may be able to ask Kumo to use a connected account, read permitted data, generate outputs from that data, and take permitted actions through that account.

Each third-party service remains governed by its own terms, policies, rate limits, and permission model. We are not responsible for outages, permission changes, data quality, or behavior of third-party services.

Kumo can operate with different levels of autonomy depending on your tenant configuration. Some workflows may be read-only, some may draft suggested work, and some may execute approved or pre-authorized actions through connected tools.

• Kumo may perform research, summarize context, inspect data, create artifacts, write drafts, and post updates without a separate approval for every step.
• If you enable scheduled tasks, auto-approval, shared credentials, or similar settings, you authorize Kumo to perform covered work without per-action approval.
• If Kumo asks for approval in Slack or the agent workspace, approval from a user with access to that request is treated as authorization to proceed.
• You remain responsible for reviewing Kumo's outputs and for the consequences of actions your workspace approves or pre-authorizes.

You may not use Kumo to:

• violate laws, sanctions, export controls, platform terms, or third-party rights;
• access systems, accounts, data, or networks without authorization;
• create malware, phishing, spam, deceptive impersonation, or harmful automation;
• generate or distribute unlawful, defamatory, abusive, hateful, obscene, or misleading content;
• use Kumo in high-risk contexts where failure could cause death, personal injury, or severe physical, environmental, or property damage;
• interfere with, overload, scrape, reverse engineer, or compromise Kumo or any connected system;
• submit secrets, personal data, or regulated data unless you have the right to do so and your configuration is appropriate for that data.

We may suspend or terminate access, disable integrations, preserve evidence, and cooperate with authorities if we believe Kumo is being misused or poses a security, legal, or operational risk.

Kumo processes your data to provide, secure, support, and improve the Service as described in our Privacy Policy. We do not sell your Slack messages or connected tool content. We do not use customer data to train our own or third-party foundation models.

Uninstalling Kumo, revoking an integration, or disconnecting a tool stops new collection from that source but may not delete previously stored data. Valid deletion requests are handled according to our Privacy Policy and retention timelines.

Kumo and its software, design, workflows, prompts, models, systems, documentation, and other materials are owned by Kumo or our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use Kumo for your internal business purposes.

You retain ownership of your business data, Slack messages, files, connected tool data, prompts, and other content you provide. You grant us the rights needed to host, process, transmit, display, and use that content to provide and support Kumo.

Outputs generated by Kumo are provided for your business use, subject to these Terms, third-party rights, connected platform terms, and applicable law. If you send us feedback, we may use it without restriction or compensation.

Kumo uses AI systems that can be wrong, incomplete, stale, biased, or inappropriate. Outputs may include mistakes in facts, code, analysis, calculations, recommendations, or business judgment.

• Review and verify outputs before relying on them or sharing them externally.
• Do not treat Kumo as legal, financial, tax, medical, security, HR, or other regulated professional advice.
• Test code, campaigns, reports, automations, and business actions before production use.
• You are responsible for decisions and actions taken based on Kumo's outputs.

Kumo may offer trials, credit balances, subscriptions, usage-based billing, or paid plans. Prices, limits, credits, and included features may change over time. Paid charges are handled through our payment processor, such as Stripe, unless another written arrangement applies.

• You authorize us and our payment processor to charge applicable fees and taxes.
• Subscriptions renew unless cancelled before the end of the current billing period.
• Cancellation takes effect at the end of the current billing period unless stated otherwise.
• Fees are generally non-refundable except where required by law or expressly agreed in writing.
• If a trial, credit balance, or account is exhausted, Kumo may limit or stop work until billing is restored.

You may stop using Kumo at any time by uninstalling the Slack app, disconnecting integrations, cancelling paid plans, or closing your account. You may request deletion through the support or legal contact made available in the product or in your applicable order form.

We may suspend or terminate access to Kumo, with or without notice, if we believe you violated these Terms, create risk for Kumo or other users, fail to pay fees, or if we discontinue the Service. After termination, provisions that by their nature should survive will continue to apply.

Kumo is provided on an as-is and as-available basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, and uninterrupted availability.

We do not guarantee that Kumo will produce correct outputs, complete tasks successfully, remain compatible with every connected service, or meet your business goals. Some jurisdictions do not allow certain disclaimers, so some limitations may not apply to you.

To the maximum extent permitted by law, Kumo and its officers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, reputational harm, or loss of goodwill.

To the maximum extent permitted by law, our total liability for all claims related to Kumo will not exceed the amounts you paid to us for Kumo during the 12 months before the event giving rise to the claim, or 100 USD if you have not paid us.

You will defend, indemnify, and hold harmless Kumo and its affiliates from claims, damages, losses, liabilities, costs, and expenses arising from your use of Kumo, your connected tools, your data, your violation of these Terms or law, and actions approved or pre-authorized by your workspace.

We may update Kumo, add or remove features, change plans or limits, or discontinue parts of the Service. We may revise these Terms from time to time. If changes are material, we will use reasonable efforts to notify workspace administrators or account contacts.

Your continued use of Kumo after updated Terms are posted or communicated means you accept the updated Terms.

Unless an applicable written agreement says otherwise, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

To the maximum extent permitted by law, disputes will be resolved individually and not as part of a class, collective, representative, or private attorney general action. Either party may seek injunctive or equitable relief for unauthorized access, intellectual property misuse, or confidentiality violations.

These Terms, together with the Privacy Policy and any applicable written order form, are the entire agreement between you and Kumo for the Service. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
